Introduction and Definitions

This document is a binding agreement between the Company and users. It sets out the terms of use, payment, cancellation and refund rights, and the obligations of both parties.

• "Service" or "Tospeak" means the web application for practicing English with real-time AI video tutors, across its subscription tiers and related features.
• "AI tutors" or "tutors" means the virtual characters (avatars) powered by an artificial-intelligence model. The tutors are not human.
• "Subscription" means recurring, paid monthly access to the service features, as described on the pricing page.
• "Disclosure document" means the written document provided to the consumer with the transaction details, as required by law.
• "Consumer Protection Law" means the Israeli Consumer Protection Law, 5741-1981 and its regulations.

Description of the Service

Tospeak is a tool for practicing English: real-time video conversations with AI tutors you can talk to. Lessons and replies are generated by an AI model (Anthropic Claude), combined with avatars (LiveAvatar/HeyGen) and speech-to-text (Deepgram). It is an ongoing digital subscription service, not a downloadable product.

Registration and Conditions of Use

Registration is done via a sign-in link sent to your email address, with no password. You agree to provide accurate details and to keep your account access credentials confidential.

The service is open to users of all ages. A purchase by a minor under 18 requires the prior consent of a parent or guardian. In the absence of such consent we may cancel the transaction and refund the payment. Nothing here derogates from the Legal Capacity and Guardianship Law, 5722-1962.

As part of acceptable use, the service may not be misused. In particular, you may not:

• Harass, threaten, or harm any person.
• Generate content that is illegal where you live, or that depicts the sexual exploitation of children.
• Probe, scrape, or attack the service.
• Misrepresent yourself as Tospeak or as one of our tutors.
• Use automated tools to flood the system with requests.

We may stop serving anyone who violates these rules.

Prices, VAT and Payment Terms

Current prices appear on the pricing page. For consumers in Israel, prices are shown as the total final amount payable in New Israeli Shekels (₪) and include VAT as required by law at the rate of 18%.

Payment is charged by credit card through a secure hosted payment page provided by a PCI-DSS-compliant payment processor. The business does not store credit card numbers or the security code (CVV). We accept the common credit cards supported by the payment processor.

Your subscription renews automatically each month at the same price unless cancelled before the renewal date. By subscribing, you authorize us to charge your payment method on each renewal. We may update subscription prices for future billing cycles, and will give you advance notice before any change takes effect.

Delivery of the Service

Because this is a digital service, subscription access opens immediately after registration and payment are completed, and the disclosure document is provided in writing to your email address. Access is available on any device with an internet connection and a supported browser, for the duration of the paid subscription.

Right of Cancellation and Refund

Consumers have cancellation rights under the Consumer Protection Law, the main points of which are below. Nothing here limits any additional rights provided by law.

• 14-day distance-sale cancellation: you may cancel the transaction within 14 days. As this is a service, the 14 days run from the later of the day the transaction was made or the day you received the written disclosure document.
• Continuous service: you may cancel within the 14-day period even after the service has begun, against a proportional payment for the period actually used plus the permitted cancellation fee.
• Cancellation fee: the lower of 5% of the transaction price or ₪100. Where cancellation is due to a defect, non-conformity, or the business's breach, no fee is charged, a full refund is given, and the business bears the costs.
• Refund: made via the same payment method, by cancelling the charge, without delay and no later than 7 business days from the cancellation notice.
• Extended 4-month window: for consumers aged 65+, persons with disabilities, and new immigrants, on a transaction made through a conversation (including by phone).

Separately and in addition, every subscriber has a distinct, non-time-limited right to stop the subscription going forward at any time (under ss. 13C-13D of the Law). Termination takes effect within 3 business days of the notice (6 business days if sent by registered mail), we will stop billing, and you will be charged only the pro-rata portion up to the termination date. Validity of the Offer

The prices and plans shown on the pricing page are valid as long as they are displayed on the site. We may update plans, features, and prices from time to time. Your active subscription price is preserved until the next billing period, subject to advance notice of any change.

Warranty, Conformity and Service

We make reasonable efforts to keep the service available and working, but we do not guarantee uninterrupted operation. The service depends on third-party interfaces (Anthropic, LiveAvatar/HeyGen, Deepgram and others), any of which may be down. Privacy

Use of the service is subject to our Privacy Policy, which details what data is collected, for what purposes, who the recipients and processors are, and your rights as a data subject (access, correction, and deletion) under the Protection of Privacy Law, 5741-1981. When you speak during a lesson, the text of your speech is sent to our AI provider (Anthropic) to generate a reply, and to our avatar provider (LiveAvatar) so the tutor can speak it. We do not claim ownership of what you say. The full details appear in the Privacy Policy on the site.

Information Security and PCI-DSS

We take reasonable security measures to protect information. Credit card payments are processed by a PCI-DSS-compliant payment provider through a secure hosted payment page. The business does not store the full credit card number or the CVV code.

Intellectual Property

The site design, code, brand, and tutor personas are the Company's property. Avatar likenesses and voices are licensed from LiveAvatar/HeyGen. Do not copy, scrape, reproduce, or republish any part of the service without the Company's written permission.

Limitation of Liability

The service is provided as-is. To the maximum extent permitted by law, the Company is not liable for indirect, incidental, or consequential damages arising from use of the service.

Governing Law and Jurisdiction

These terms and the use of the service are governed by the laws of the State of Israel. Exclusive jurisdiction over any matter arising from them is vested in the competent courts in Israel, subject to consumers' rights to seek legal recourse as provided by law.

Changes to These Terms

We may update these terms from time to time. The "Last updated" date at the top of the document reflects the current version. Updates apply prospectively only, do not apply retroactively to transactions already completed, and do not reduce rights granted to you by law or rights already accrued up to the date of the update. We will give advance notice of any material change. Continued use of the service after an update constitutes acceptance of the updated terms.
